Terms of Service

These are the Terms of Service for Oriv. They explain what you can expect from us, and what we expect from you when you use the product. We've written them in plain English on purpose — no surprises buried in clauses.
1. Who we are
Oriv is a product built by Oriv AI, operating from Mumbai, India. In these Terms, "Oriv", "we", "us", and "our" refer to Oriv AI. "You" and "your" refer to the person or organisation using the product. You can reach us at [email protected].
2. Acceptance and eligibility
By creating an account or using Oriv, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use the product.
You must be at least 18 years old and legally able to enter into a contract. Oriv is built for businesses; it is not intended for personal or consumer use. If you're signing up on behalf of a company or other organisation, you confirm that you have authority to bind that organisation to these Terms.
3. Account responsibilities
You are responsible for keeping your account credentials secure. That includes your password, any phone numbers used for OTP login, and any Google account you sign in with. Don't share your credentials, and let us know promptly if you suspect someone else has accessed your account.
You're responsible for activity that happens under your account — including activity by teammates you invite into your workspace. If a team member uploads data, sends a message, or generates an invoice, that counts as you doing it for the purposes of these Terms.
4. Acceptable use
While using Oriv, you agree not to:
- Send spam, unsolicited bulk communications, or content prohibited by Meta's WhatsApp Business policies.
- Use the product to scrape, harvest, or extract data from third parties without permission.
- Impersonate any person or organisation, or misrepresent your affiliation.
- Upload, store, or transmit content that is illegal under Indian law, including content that infringes intellectual property, defames another person, or sexualises minors.
- Attempt to break, probe, or reverse-engineer the product or its infrastructure.
- Use the AI features to generate content intended to mislead, defraud, or harm others.
These restrictions apply especially to outbound channels — WhatsApp messages and email sends— where misuse can get our shared infrastructure blocked by Meta, by email providers, or by recipients' carriers. If your account triggers abuse reports, we may pause outbound sending while we investigate.
5. Your data and ownership
Your data is yours.The business data you put into Oriv — contacts, deals, invoices, freelancer records, chat messages, files, tickets — remains your property. We process it on your behalf to operate the service for you.
You grant us a limited licence to host, transmit, display, and process your data only to the extent needed to provide the service to you (for example, to display your invoices in your dashboard, to back up your database, or to send an AI inference request you've initiated).
6. AI usage
Oriv uses large language models (LLMs) to power chat, drafting, summarisation, and similar features. To do this, we send the relevant portion of your business data — the prompt and the context needed to answer it — to one or more third-party AI providers, which currently include Google Gemini, OpenAI, Anthropic, and Groq.
We pick the provider based on which model is best suited to the task, latency, and cost. The list may change as we add or remove providers; we'll keep the Privacy Policy up to date.
We do not train AI models on your data.Our contracts with these providers are on terms that do not allow them to use your inputs or outputs to train their public models. AI outputs can still be wrong, incomplete, or out of date — treat them as drafts to review, not as professional advice.
7. Subscription billing
Paid plans are billed in INR through Razorpay, on a monthly cycle, in advance. Razorpay handles your card or UPI details directly; Oriv does not store full payment instrument numbers on our servers.
The cancellation, refund, and proration policy — what happens if you cancel mid-cycle, whether unused days are refunded, and the timeline for refunds triggered by Razorpay disputes — needs to be finalised by counsel before public launch. In the meantime, contact us at [email protected]and we'll handle billing questions case by case.
Note: Oriv used to offer client-payment processing (collecting your customers' payments through the platform). That feature has been removed. Razorpay is only used for Oriv's own subscription billing.
8. Service availability
We make a best-effort attempt to keep Oriv available, but at this stage of the product we do not offer a contractual uptime SLA. The service may be unavailable for maintenance, due to a problem with an upstream provider (Railway, Firebase, Meta, Razorpay, an AI provider), or because something has broken on our end. We'll try to communicate meaningful incidents through email or in-app notice.
9. Limitation of liability
To the extent permitted by Indian law, Oriv is provided "as is". We don't guarantee that the service will be error-free, uninterrupted, or fit for any specific business purpose. Where the law allows us to limit liability, we limit it to the fees you've paid us in the twelve months before the event giving rise to the claim. We're not liable for indirect or consequential losses — lost profits, lost revenue, lost business opportunities, lost data — arising out of your use of the service. Counsel must rewrite this section to ensure it is enforceable under Indian law and consistent with the Consumer Protection Act, 2019 where applicable.
10. Termination
You can cancel any time. Go to Settings and delete your account, or email us at [email protected]and we'll do it for you. Deletion purges your data within the window described in the Privacy Policy.
We can suspend or terminate your accountif you violate these Terms — especially the acceptable-use rules in Section 4 — or if your use puts our infrastructure or other users at risk. Where it's reasonable, we'll give you notice and a chance to remedy the issue first.
11. Governing law
These Terms are governed by the laws of India. Any dispute arising out of or in connection with them is subject to the exclusive jurisdiction of the courts of Mumbai.

Changes to these Terms
We may update these Terms from time to time. When we make a material change, we'll update the effective date above and, where reasonable, notify you by email or in-app message. Continuing to use Oriv after a change means you accept the updated Terms.
