Terms of Service

Effective Date: March 16, 2026

Welcome to Oriv ("Platform", "Service", "we", "us", or "our"), an AI-native operating system for business conversations. Oriv is owned and operated by Novamind Tech LLP, a limited liability partnership registered in India ("Company").

By accessing or using Oriv at oriv-ai.com or any related applications, APIs, or services, you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

If you are using Oriv on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

1. Definitions

  • "Account" means your registered user account on the Platform.
  • "AI Features" means all artificial intelligence and machine learning capabilities provided through the Platform, including but not limited to the AI chat assistant, automated CRM operations, invoice generation, freelancer discovery, business analytics, and any other AI-powered functionality.
  • "Content" means any data, text, files, documents, information, or materials you upload, submit, or transmit through the Service.
  • "Output" means any content, text, suggestions, analysis, or other materials generated by the AI Features in response to your inputs.
  • "Tenant" means the organizational workspace within which your team operates on Oriv.

2. Eligibility and Account Registration

2.1 Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Service. The Service is intended for business use and is not directed at consumers or children under 18.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us at [email protected] of any unauthorized use of your account. We use Firebase Authentication for identity management and implement industry-standard security practices, but we cannot guarantee absolute security.

2.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to keep it updated. We reserve the right to suspend or terminate accounts with inaccurate or incomplete information.

3. Description of Service

Oriv is an AI-powered business operating system that provides:

  • AI Chat Assistant: A conversational interface powered by large language models (LLMs) that can execute business operations through natural language.
  • CRM Management: Contact, deal, and pipeline management with AI-assisted data entry and analysis.
  • Invoicing & Payments: Invoice generation, payment tracking, and integration with payment gateways (e.g., Razorpay).
  • Freelancer Management: Discovery, qualification, and management of freelance talent.
  • Business Intelligence: Dashboards, analytics, and AI-driven insights about your business operations.
  • Team Collaboration: Multi-user workspaces with role-based access control.
  • Monitoring & Notifications: Automated tracking of overdue payments, stalled deals, and other business events.

4. AI-Specific Terms

Important: Oriv incorporates artificial intelligence throughout its core functionality. Please read this section carefully as it contains material terms regarding AI capabilities and limitations.

4.1 Nature of AI Output

AI Features are provided to assist you in your business operations. Outputs generated by AI Features are suggestions and tools — not professional advice. You acknowledge and agree that:

  • AI Outputs may be inaccurate, incomplete, or misleading ("hallucinations"). You are solely responsible for reviewing, verifying, and validating all AI Outputs before relying on them.
  • AI Outputs do not constitute legal, financial, tax, accounting, or any other professional advice.
  • You will not use AI Outputs as the sole basis for any material business decision without independent verification.
  • We do not guarantee the accuracy, completeness, reliability, or fitness for any particular purpose of any AI Output.

4.2 AI Data Processing

To provide AI Features, your inputs (including conversation messages, business data context, and relevant CRM/invoice data) are processed by our AI systems, which may include third-party AI model providers such as Google (Gemini) and Groq. We ensure that:

  • No model training on your data: Your business data, Content, and conversation inputs are never used to train, fine-tune, or improve any AI or machine learning models — neither ours nor any third party's.
  • Data minimization: Only the minimum necessary data is sent to AI model providers to fulfill your specific request.
  • No cross-tenant data exposure: Your data is strictly isolated within your Tenant. AI responses for your account are generated solely based on your Tenant's data and will never include data from other users or organizations.
  • Processing purpose limitation: AI processing is performed solely to provide the requested Service functionality and for no other purpose.

4.3 Automated Actions

The AI assistant can perform business actions on your behalf (e.g., creating contacts, generating invoices, updating deals). By using these features, you:

  • Authorize the AI to execute the actions you request through the chat interface.
  • Accept responsibility for reviewing the results of automated actions.
  • Understand that certain high-risk actions may require additional confirmation or human approval.

4.4 AI Limitations and No Warranty

AI technology is inherently probabilistic and evolving. We do not warrant that AI Features will be error-free, uninterrupted, or meet your specific requirements. AI models may be updated, changed, or replaced to improve the Service, and such changes may affect Output quality or behavior.

4.5 Prohibited AI Uses

You agree not to use the AI Features to:

  • Generate content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.
  • Attempt to extract, reverse-engineer, or reproduce the underlying AI models or their training data.
  • Circumvent safety measures, content filters, or usage limits.
  • Represent AI-generated Output as solely human-created work in contexts where such distinction is legally or ethically required.
  • Use AI Features for any purpose that violates applicable laws or regulations, including employment discrimination, unauthorized surveillance, or deceptive practices.

5. Your Content and Data Ownership

5.1 Your Content

You retain all ownership rights in your Content. By using the Service, you grant us a limited, non-exclusive license to use, process, and store your Content solely for the purpose of providing and improving the Service for you.

5.2 AI Output Ownership

Subject to your compliance with these Terms, you own the Outputs generated by the AI Features in response to your specific inputs, to the extent permitted by applicable law. You acknowledge that:

  • Similar or identical Outputs may be generated for other users who provide similar inputs.
  • AI Outputs may not qualify for intellectual property protection under applicable law.
  • We make no representation that Outputs are original or non-infringing.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without obligation to you.

6. Acceptable Use Policy

You agree not to:

  • Violate any applicable law, regulation, or third-party rights.
  • Use the Service for any illegal, fraudulent, or deceptive purpose.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to any part of the Service or its infrastructure.
  • Upload malicious code, viruses, or harmful content.
  • Scrape, crawl, or use automated means to access the Service beyond the provided APIs.
  • Resell, sublicense, or redistribute the Service without our written consent.
  • Use the Service in a manner that could damage, disable, or impair it.

7. Subscription and Payments

7.1 Plans and Pricing

Oriv offers various subscription plans, which may include free tiers with limited features. Pricing details are available on our website. We reserve the right to modify pricing with 30 days' notice for existing subscribers.

7.2 Payment Processing

Payments are processed through third-party payment processors (including Razorpay). You agree to the terms and conditions of the applicable payment processor. All fees are exclusive of applicable taxes unless stated otherwise.

7.3 Refunds

Refund eligibility is determined on a case-by-case basis. If you are unsatisfied with the Service, contact us at [email protected] within 14 days of your subscription start date.

8. Third-Party Services and Integrations

The Service integrates with or relies on third-party services, including but not limited to:

  • Authentication: Firebase (Google)
  • AI Models: Google Gemini, Groq
  • Payments: Razorpay
  • AI Observability: Langfuse

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

9. Intellectual Property

The Service, including its source code, design, logos, trademarks, documentation, and all related intellectual property, is owned by Novamind Tech LLP or its licensors. Nothing in these Terms grants you any right to use our trademarks, brand features, or proprietary materials except as expressly permitted.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal and business data. By using the Service, you consent to the practices described in the Privacy Policy.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • IN NO EVENT SHALL NOVAMIND TECH LLP, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
  • OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR INR 10,000, WHICHEVER IS GREATER.

11.1 AI-Specific Liability Exclusions

Without limiting the above, we shall have no liability for:

  • Any decisions you make based on AI-generated Outputs.
  • Inaccuracies, errors, or hallucinations in AI-generated content.
  • Business losses arising from reliance on automated AI actions.
  • Any third-party claims arising from your use of AI Outputs.
  • Temporary unavailability or degraded performance of AI Features due to third-party AI provider outages.

12. Indemnification

You agree to indemnify, defend, and hold harmless Novamind Tech LLP and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Service or violation of these Terms.
  • Your Content or the manner in which you use AI Outputs.
  • Your violation of any applicable law or third-party rights.
  • Any dispute between you and a third party related to your use of the Service.

13. Suspension and Termination

13.1 By You

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following termination, after which it will be permanently deleted unless required by law.

13.2 By Us

We may suspend or terminate your access to the Service immediately and without notice if:

  • You breach any provision of these Terms.
  • Your use of the Service poses a security risk or may harm other users.
  • We are required to do so by law.
  • Your account has been inactive for more than 12 months.

13.3 Effect of Termination

Upon termination, all licenses granted to you under these Terms will immediately cease. Sections relating to Intellectual Property, Limitation of Liability, Indemnification, and Governing Law shall survive termination.

14. Data Portability and Export

You may request an export of your data at any time during your active subscription by contacting [email protected]. We will provide your data in a commonly used, machine-readable format within 30 days of your request.

15. Service Availability and Modifications

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, update, or discontinue any feature of the Service at any time. For material changes that adversely affect your use, we will provide reasonable advance notice.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

16.2 Dispute Resolution

Any dispute arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India.

16.3 Jurisdiction

Subject to the arbitration provision above, the courts of New Delhi, India shall have exclusive jurisdiction over any disputes.

17. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Platform and, where possible, by email. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree, you must stop using the Service.

18. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Novamind Tech LLP regarding the Service.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not be considered a waiver of such right or provision.
  • Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to an affiliate or successor.
  • Force Majeure: We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, wars, pandemics, government actions, or failures of third-party services including AI model providers.
